In case of death, resignation or refusal or inability to act of any one (1) or more
of the Trustees, the remaining Trustees shall have all the powers, rights, estates
and interests of this Trust, and shall be charged with its duties, provided that,
in such cases there shall be no change in the quorum or voting requirements established
in section 40-31. hereof.
